1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and ZealTyro (“we,” “us,” or “our”), concerning your access to and use of the zealtyro.com website, as well as any other media form, mobile application (e.g., Brain Dump, Keystone, ZealCrypt), physical hardware product (e.g., ZealTyro Smart Stick), or Web3 ecosystem related, linked, or otherwise connected thereto.
By accessing our ecosystem or utilizing our services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree, you are expressly prohibited from using our services and must discontinue use immediately.
2. Client Engineering & Consultancy Services
For startups, agencies, and entities engaging ZealTyro for development services, the following terms apply:
- Statements of Work (SOW): All client engineering, full-stack development, and “vibe-coded” codebase standardization services will be governed by specific, separate written agreements or invoices outlining project scope, milestones, and deliverables.
- Intellectual Property Rights: Upon final payment, clients retain full ownership of the final codebase delivered for their custom projects. However, ZealTyro retains all rights, title, and interest in our proprietary underlying frameworks, open-source libraries, and baseline architectural patterns utilized to build the project.
- Codebase Rescue Limitations: While we specialize in standardizing fragile scripts into enterprise-grade architectures, we do not guarantee that third-party APIs, legacy systems, or raw AI-generated logic provided by the client will function flawlessly without substantial refactoring.
3. Proprietary Digital Products & Applications
- License to Use: ZealTyro grants you a revocable, non-exclusive, non-transferable, limited right to install and use our proprietary applications (such as Brain Dump and Keystone) on wireless electronic devices owned or controlled by you.
- Acceptable Use: You agree not to decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the applications. You further agree not to use the applications for any revenue-generating endeavor or commercial enterprise not strictly endorsed by us.
- Offline-First Nature: Applications explicitly designed as “offline-first” (e.g., Brain Dump) store data locally on your device. ZealTyro is not liable for data loss resulting from device failure, deletion of the app, or operating system upgrades.
4. Decentralized Networks & Web3 (Overlumens)
- Blockchain Risks: Interactions with our web3 ecosystem and associated smart contracts deployed on the Stellar network carry inherent risks. Blockchain transactions are immutable and irreversible.
- No Financial Advice: Nothing published within the ZealTyro ecosystem, our educational hub (
edu.zealtyro.com), or our social channels constitutes financial, investment, or trading advice. - Liability Exemption: ZealTyro is not responsible for any financial losses, impermanent loss in automated market makers (AMMs), or loss of access to Web3 wallets due to misplaced private keys or network congestion.
5. Physical Hardware (ZealTyro Smart Stick)
- Product Descriptions: We make every effort to display as accurately as possible the colors, features, and specifications of the ZealTyro Smart Stick. However, we do not guarantee that the physical 5-in-1 charging kit will perfectly match your electronic display’s rendering.
- Safe Usage: The hardware is intended strictly as a utility charging and connection kit. ZealTyro accepts no liability for damage to personal smartphones, laptops, or electrical outlets resulting from power surges, improper usage, or exposure to liquid.
- Fulfillment: Delivery timelines are estimates provided by our local courier partners. ZealTyro is not liable for logistical delays outside of our direct control.
6. User Representations
By using the ZealTyro ecosystem, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete.
- You have the legal capacity and you agree to comply with these Terms and Conditions.
- You will not access the ecosystem through automated or non-human means, whether through a bot, script, or otherwise (unless interacting with our publicly documented APIs).
- You will not use the ecosystem for any illegal or unauthorized purpose.
7. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of our ecosystem at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of services, apps, or hardware.
8. Governing Law and Jurisdiction
These Terms shall be governed by and defined following the laws of Bangladesh. ZealTyro and yourself irrevocably consent that the courts of Dhaka, Bangladesh, shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
